These Terms of Service (Terms) govern your access to and use of the services, platform, and website (Services) operated by Chloris Technologies Pty Ltd (Chloris, we, us, our). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use our Services.
1. About the Services
Chloris provides a diagnostic support platform designed to assist clinicians and patients in navigating women's health conditions. Our Services are intended to support — not replace — clinical decision-making. Nothing in the Services constitutes medical advice, diagnosis, or treatment. Always seek the guidance of a qualified healthcare professional with any questions you may have regarding a medical condition.
2. Eligibility
You must be at least 18 years of age to use our Services. By using the Services, you represent and warrant that you meet this requirement. Certain features of the platform are available only to registered healthcare professionals; access to those features may require verification of your credentials.
3. Account Registration
Some parts of our Services require you to create an account. You agree to provide accurate and complete information at registration and to keep your account details up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. 4. Your Obligations
When using our Services, you agree to:
- Use the Services only for lawful purposes and in accordance with these Terms.
- Not attempt to gain unauthorised access to any part of the Services, or interfere with the security, integrity, or performance of the platform.
- Not upload, transmit, or share content that is misleading, defamatory, unlawful, or that infringes the intellectual property rights of any person.
- Comply with all applicable laws and professional obligations, including those relating to the handling of health information.
5. Intellectual Property
All content, software, trademarks, and materials made available through the Services are the property of Chloris or our licensors and are protected by Australian and international intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any part of our Services without our prior written consent.
6. Privacy
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in the Privacy Policy.
7. Disclaimers
The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Chloris disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components.
The Services are intended as a clinical support tool only. Chloris is not a registered healthcare provider. Clinical decisions remain the sole responsibility of the treating clinician.
8. Limitation of Liability
To the maximum extent permitted by applicable law, Chloris and its directors, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Services, even if advised of the possibility of such damages. Our aggregate liability for any claim arising under or in connection with these Terms is limited to the amount you paid us (if any) in the 12 months preceding the claim.
Nothing in these Terms excludes liability that cannot be excluded under the Australian Consumer Law, including any applicable consumer guarantees.
9. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have violated these Terms or for any other reason at our sole discretion. You may stop using the Services at any time. On termination, provisions that by their nature should survive (including intellectual property, disclaimers, and limitation of liability) will continue to apply.
10. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by updating the effective date at the top of this page and, where appropriate, by direct notification. Continued use of the Services after changes take effect constitutes your acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales and the Federal Court of Australia for any dispute arising under or in connection with these Terms.
